Vagmi Terms of Use
These Terms of Use ("Terms") form a binding agreement between you ("you", "the user") and DheeYantra Research Labs Private Limited, having its registered office in India ("DheeYantra", "we", "us"), governing your use of the Vagmi mobile application ("the App") and any related services. By tapping "I Agree", you confirm that you have read, understood, and accepted these Terms in full.
1. Nature of the service
Vagmi is an on-device, AI-assisted speech translation application. Audio you speak into your device is processed locally by AI models running on your phone, and the translated text and synthesised speech are produced by the App. No audio is uploaded to our servers in normal use; only anonymous usage counters and purchase receipts may leave your device for billing reconciliation.
2. AI-generated output — no warranty of accuracy
Translations produced by the App are generated by statistical AI models and may contain errors, omissions, mistranslations, awkward phrasing, or content that does not faithfully represent the source speech. DheeYantra makes NO representation or warranty, express or implied, that translations are accurate, complete, fit for any specific purpose, suitable for medical, legal, financial, safety-critical, religious, governmental, or any other professional use, or free from bias, offensive language, or culturally insensitive content. You must not rely on Vagmi output for any decision where accuracy is material; obtain a qualified human translator for such situations.
3. Permitted use
You may use the App for lawful personal or commercial communication. You agree NOT to use the App to translate content that is unlawful, defamatory, infringes third-party intellectual property, violates privacy laws, constitutes harassment, or is otherwise prohibited under applicable law. You are solely responsible for the content you speak into the App and for any consequence arising from your use of its output.
4. Device requirements and on-device processing
The App requires a capable mobile device (≥8 GB RAM, recent Android version, supported SoC) to run AI models locally. We reserve the right to refuse to operate on devices that do not meet these requirements. Translation quality, latency, battery consumption, and storage usage depend on your device and on factors outside our control.
5. Purchases and billing
The App provides a free quota of usage; additional usage may be purchased through Google Play Billing. All purchases are subject to Google Play's own terms. Refunds are governed by Google Play's refund policy; we do not handle refunds directly. Hours purchased are non-transferable and tied to your installation; reinstalling the App or transferring to a different account may forfeit unused hours.
6. Intellectual property
All rights, title, and interest in the App, including underlying source code and trademarks (other than the AI model weights themselves, which are licensed from their respective publishers including Google for Gemma models and the Sherpa-ONNX project for speech synthesis components), are owned by DheeYantra. You receive only a limited, non-exclusive, non-transferable licence to use the App on your personal devices.
7. Disclaimer of warranties
The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted operation, or freedom from defects. To the maximum extent permitted by law, DheeYantra disclaims all such warranties.
8. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall DheeYantra, its affiliates, directors, employees, contractors, or licensors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or in connection with your use of, or inability to use, the App or any translations produced by it, even if DheeYantra has been advised of the possibility of such damages. Our aggregate liability to you under these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the amount you paid to DheeYantra for the App in the twelve (12) months immediately preceding the event giving rise to the claim, or INR 1,000 (whichever is greater).
9. Indemnification
You agree to defend, indemnify, and hold harmless DheeYantra, its affiliates, officers, directors, employees, and contractors from and against any and all claims, demands, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the App;
- the content you speak into the App or that the App produces in response;
- your breach of these Terms;
- your violation of any applicable law or third-party right; or
- any reliance you, or any third party acting on your behalf, places on a translation produced by the App.
10. Privacy
Audio you speak into the App is processed entirely on your device and is not transmitted to DheeYantra servers. The App may transmit, only when a network is available: an anonymous installation identifier, usage-duration counters for billing reconciliation, and purchase tokens for verification by Google Play. We do not collect transcripts, audio, or any content of your translations. Refer to our Privacy Policy for full details.
11. Changes to these Terms
We may revise these Terms from time to time. When we do, we will bump the version number and present the updated Terms inside the App for your acceptance on next launch. Continued use of the App after acceptance constitutes agreement to the revised Terms.
12. Termination
We may suspend or terminate your access to the App at any time, with or without notice, for breach of these Terms or for any other reason. You may stop using the App at any time by uninstalling it.
13. Governing law and jurisdiction
These Terms are governed by the laws of India. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India, except where applicable consumer-protection law mandates otherwise.
14. Severability and entire agreement
If any provision of these Terms is held unenforceable, the remainder shall continue in force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and DheeYantra regarding the App, superseding any prior agreements.
